Job PurposeThe Legal Specialist will provide expert legal advice to the company and its group, supporting informed risk-based decision-making and increasing awareness of regulatory and compliance risks. The role aims to protect the firm's reputation and interests in financial markets while achieving its investment objectives in accordance with applicable laws.
Key Responsibilities- Coordinate contract review requests with the Group and the company, ensuring efficient processing and protection of the company's and Group's interests across all contracts.
- Support the legal aspects of investment evaluation, due diligence, and closing processes to mitigate risks and safeguard the firm's interests.
- Provide legal counsel on M&A transactions, including drafting, reviewing, and negotiating transactional documents such as share purchase agreements, asset purchase agreements, and merger agreements.
- Review and negotiate investment documents, including partnership agreements and subscription agreements, as well as draft and negotiate term sheets, letters of intent, side letters, non-disclosure agreements, shareholder agreements, and partnership agreements.
- Identify and assess legal risks associated with investment transactions and corporate activities, staying up-to-date on industry trends and best practices to offer proactive legal guidance.
- Perform additional legal tasks or special projects assigned by leadership, addressing emerging priorities or urgent matters where necessary.
A Bachelor's degree in law and 2-6 years of relevant experience in private practice or in-house counsel are required for this position.
